Job Title: Senior Counsel - Derivatives
Job Responsibilities:
The Senior Counsel - Derivatives is a corporate attorney position within the Investments Law team, specifically supporting the **Members Only** Insurance Investments (MII) & Derivatives team. This role involves providing legal support for derivatives activities conducted by MII and **Members Only** Investment Management (MIM) in conjunction with their insurance and investment management activities. Key responsibilities include:
- Drafting and negotiating derivatives documentation such as ISDA Master Agreements, VM and IM Credit Support Annexes, IM Collateral Transfer Agreements, and Security Agreements.
- Preparing custody agreements and account control agreements.
- Reviewing bespoke/customized trade confirmations and terms.
- Coordinating onboarding, KYC, and AML compliance for ISDA Protocols adherence.
- Providing advice on derivatives documentation for foreign affiliates in various countries including Japan, South Korea, London, Ireland, Mexico, Chile, Australia, and Bermuda.
- Offering transactional support by reviewing collateral provisions in reinsurance structures, advising on hedging strategies, and reviewing disclosure and investment management agreement provisions related to derivatives.
- Supporting investment asset hedging and reviewing hedging provisions and derivatives structures for debt transactions.
- Advising on all aspects of Title VII of Dodd-Frank and similar derivatives laws in jurisdictions where the company has affiliates engaging in derivatives activities.
- Working closely with stakeholders to ensure efficient operations of the derivatives/securities finance platforms and compliance with applicable regulatory requirements.
Education and Experience Information:
- 3 to 5 years of relevant experience in corporate, securities finance, and/or derivatives law, preferably with a law firm, insurance company, or financial services institution.
- Familiarity with negotiating master trading agreements, including ISDA Master Agreements and related schedules and credit support annexes.
- Understanding of . and . regulation of derivatives impacting institutional counterparties and end-users.
- Juris Doctorate with excellent academic credentials from an ABA-accredited school.
- Active license to practice law in at least one state and membership in good standing of the bar.
- Ability to obtain a NJ in-house counsel limited license if not already licensed in NJ.
- Awareness of current economic trends impacting institutional investors.
- Strong analytical, problem-solving, and communication skills.
- A strong work ethic and customer-service mentality.
- Demonstrated legal, organizational, and interpersonal skills.
Preferred Experience:
- Familiarity with negotiating master securities lending agreements, master securities repurchase agreements, and clearing agreements.
- Exposure to insurance laws and regulations impacting insurance company investment activities.
- Understanding of relevant state and federal laws and regulations impacting institutional investors, including insolvency laws.
- Experience with reinsurance transactions and related collateral arrangements.
Salary Information:
The salary range for this position is between $156,800 and $209,000.
