Job Title: Commercial Counsel (US Remote)

Job Responsibilities:
- Provide legal advice, guidance, and expertise on routine transactional agreements and legal matters, making decisions that could significantly impact the company’s revenue and risk.
- Prepare responses to Requests for Proposal, negotiate, interpret, and administer contracts, subcontracts, and licensing agreements.
- Draft, review, edit, finalize, and negotiate routine transactional agreements to meet business and legal requirements, including sales/supply and reseller/distribution agreements, end user license agreements, professional services agreements, hosting agreements, Software as a Service (SaaS) and subscription agreements, and statements of work (SOWs).
- Manage contract documentation and approval flows to ensure consistency with internal processes.
- Assist with contract disputes by understanding the issues, researching and providing guidance on solutions, and drafting settlement agreements.
- Research and respond to general legal inquiries from the business that may relate to contract disputes, regulatory issues, and new business initiatives.
- Provide counsel and guidance to achieve overall business objectives while complying with applicable laws and regulations and avoiding unacceptable risks.
- Maintain, revise, and update contract templates.
- Proactively develop and maintain technical knowledge in specialized areas, staying up-to-date on current trends and best practices.
- Work under general supervision of the manager and exercise reasonable judgment to determine when to escalate complex matters or decisions to the manager.

Education and Experience Information:
- Requires a Juris Doctor Degree and 2+ years of experience in corporate transactional, contracts negotiation, and/or commercial transaction experience.
- Admission to the Bar of at least one state is required or admitted to practice in at least one jurisdiction if international equivalent.
- Legal authorization to work in the . indefinitely is required. Employer work permit sponsorship is not available for this position.

Desired Skills/Qualifications:
- Experience in corporate transactional, contracts negotiation, or commercial transaction experience, preferably with a background in technology matters, including software licensing, subscription and hosted environments, telecom, government contracts, and/or intellectual property.
- Ability to identify potential legal issues and approach legal matters with pragmatism and flexibility.
- Strong negotiation, consultation, and analytical skills.
- Excellent problem-solving skills, sound judgment, and decision-making skills.
- Strong interpersonal, presentation, and communication skills (including written and verbal).
- Ability to collaborate in meetings with customers, vendors, attorneys, management, and other third parties regarding negotiation of agreements and general problem-solving.
- Business acumen with the ability to understand the company’s business objectives and anticipate legal issues that could arise.
- Well-organized, detail-oriented, and adept in a fast-paced environment.
- Required to work with the highest level of ethics and discretion.

Salary Information:
- Target Base Salary Range: $85,000 - $110,000 USD
- Pay within this range varies and depends on job-related knowledge, skills, and experience. The actual offer will be based on the individual candidate.
