Job Title:
Senior Vice President, General Counsel & Corporate Secretary

Job Responsibilities:
The position of Senior Vice President, General Counsel & Corporate Secretary involves a wide range of legal and operational duties essential to the success of the company. Key responsibilities include:

- Drafting and reviewing various types of contracts such as Non-Disclosure Agreements (NDAs), credit agreements, investment products, operating agreements, and intra-company servicing agreements.
- Conducting research and analysis on complex regulatory issues and providing advice to portfolio companies on compliance matters.
- Assisting business principals in the evaluation and due diligence of potential investment targets.
- Interfacing with the Chief Financial Officer, Senior Vice President of Human Resources, and Chief Information Officer to assist with legal department functions.
- Managing outside counsel on specific transactions.
- Collaborating regularly with business principals and in-house legal teams at portfolio companies.
- Managing relationships with legal department vendors.
- Assisting in the management of litigation matters or other disputes involving the company or its holdings when necessary.

Education and Experience:
Candidates must meet the following educational and experiential criteria:

- Graduation from an accredited law school is required.
- A minimum of ten (10) years of relevant experience is necessary.
- Active membership in good standing with at least one state bar.
- Experience in aviation and transactional practice, as well as relevant contract law, is mandatory.
- Experience in managing financing transactions and other complex transactions.
- Strong background in Corporate Law.
- Some litigation experience is advantageous.
- Experience advising clients within the private equity environment.
- Some exposure to corporate risk management practices, including employment issues, data security, insurance issues, and information governance.
- Experience in writing legal memoranda and correspondence.
- Experience in handling or supervising civil litigation is desired.

Abilities and Skills:

- Knowledge of regulatory issues in the financial services and insurance industries.
- Understanding of corporate finance.
- Familiarity with mergers and acquisitions.
