Job Title: Associate Counsel
Job Responsibilities:
The Associate Counsel will operate under the supervision of the Assistant General Counsels and will be tasked with advising the corporate departments and business groups on a broad spectrum of legal matters. The responsibilities entail reviewing, drafting, and negotiating a diverse range of contracts and other forms, alongside handling general corporate and compliance matters. Key duties include:
- Reviewing, drafting, negotiating, and advising on a wide array of contracts, such as employment agreements, equity documents, independent contractor agreements, vendor agreements, client agreements, collaborative agreements, and confidentiality agreements.
- Collaborating with multi-functional transactional teams, comprising corporate and business development, accounting, sales, and human resources, to develop company policy, processes, and procedures in compliance with legal standards.
- Assisting both internal and external legal counsel by providing guidance on legal matters, anticipating potential legal issues, and advising on solutions across corporate groups, client engagements, and third-party relationships.
- Advising corporate departments and business groups on privacy laws, regulations, and related industry standards that impact the company, including coordinating and synthesizing advice from external counsel as required.
- Collaborating with external counsel and internal business teams to respond to subpoenas and litigation discovery requests.
- Supporting merger and acquisition activities by gathering, reviewing, and preparing information for due diligence.
- Reviewing and revising internal legal policies, processes, and procedures.
- Performing other duties as assigned.
Education and Experience:
- Juris Doctor degree from an ABA-accredited law school is required.
- Must be a member in good standing of at least one State Bar or the District of Columbia State Bar.
- Preferred experience in privacy and data protection laws and regulations, including . State and federal consumer protection and privacy laws, GDPR, and other privacy laws.
- Experience in reviewing, drafting, and negotiating contracts.
- A minimum of two years of related work experience.

- Excellent verbal and written communication skills.
- Ability to provide legal guidance in a practical, business-oriented manner to non-lawyer company representatives to help reach solutions.
- Advanced analytical, problem-solving, and time management skills.
- Strong interpersonal skills and the ability to establish good professional relationships with internal clients, management, and legal colleagues.
- Excellent planning, organizational, and prioritization skills, including the ability to multi-task on multiple high-priority projects.
- Good judgment, including good business judgment.
- Preferred, but not required, experience in contract review, drafting, and negotiation.
- Proficient in Microsoft Office products.
