Job Title: Associate Counsel

Job Responsibilities:
The Associate Counsel, under the supervision of the Assistant General Counsels, will manage a variety of legal responsibilities within the company. Key duties include reviewing, drafting, negotiating, and advising on a wide range of contracts such as employment agreements, equity documents, independent contractor agreements, vendor agreements, client agreements, collaborative agreements, and confidentiality agreements. The role involves partnering with multi-functional transactional teams, including corporate and business development, accounting, sales, and human resources, to develop company policies, processes, and ensure legal compliance. Additionally, the Associate Counsel will assist internal and external legal counsel in providing guidance on legal matters and advise on potential legal problems across corporate groups, client engagements, and third-party relationships.

The Associate Counsel will advise corporate departments and business groups on privacy laws and regulations, and coordinate advice from external counsel as needed. They will work with external counsel and internal business teams to respond to subpoenas and litigation discovery requests. The role also supports merger and acquisition activities by collecting, reviewing, and preparing information for due diligence and reviewing and revising internal legal policies, processes, and procedures. Other duties may be assigned as necessary.

Education and Experience Information:
The position requires a Juris Doctor degree from an ABA-accredited law school and membership in good standing with at least one State Bar or the District of Columbia State Bar. Preferred qualifications include experience in privacy and data protection laws and regulations, including . State and federal consumer protection and privacy laws, GDPR, and other privacy laws. Experience in reviewing, drafting, and negotiating contracts is also preferred. The candidate should have at least two years of related work experience.

Skills:
The role requires excellent verbal and written communication skills and the ability to provide legal guidance in a practical, business-oriented manner to non-lawyer company representatives to help reach solutions. Advanced analytical, problem-solving, and time management skills are essential, along with strong interpersonal skills and the ability to establish good professional relationships with internal clients, management, and legal colleagues. The candidate should possess excellent planning, organizational, and prioritization skills, including the ability to multi-task on multiple high-priority projects. Good judgment, including good business judgment, is important. While contract review, drafting, and negotiation experience is preferred, it is not required. Proficiency in Microsoft Office products is expected.
