Corporate Paralegal The candidate will provide general corporate and transactional support to attorneys across multiple office locations. Assist with the preparation and filing of documents to effect entity formations, qualifications, amendments, dissolutions and withdrawals, and minutes and consents for shareholder and board meetings. Assist with the preparation and filing of documents to effect mergers, conversions, share issuances and similar transactions. Support attorneys on corporate transactions including public record searches, coordination of signatures and closing deliverables, assembly of final documents and ensuring post-closing tasks are accomplished. Order UCC lien searches, and order business entity documents from public offices (certified charter, certificates of existence, etc.). File UCC documents with state offices. Participate in and help manage due diligence projects. Prepare initial drafts of legal documents for attorney review. Simultaneously coordinate and track multiple transaction schedules at once to ensure draft and final document delivery in an accurate and timely manner. Attend closing transactions and assist with document organization. Interact with clients and other transaction participants in a professional and courteous manner by phone, written correspondence or in person. Prepare and file forms with the Internal Revenue Services, including SS-4s. Conduct research and perform library and online searches. Prepare and distribute final transcripts for closings. File and database/records maintenance for all closing transcripts.
The candidate should preferably have Bachelor's degree and/or paralegal certificate. Should have 5+ years experience as a paralegal in a law firm setting, supporting a corporate and/or public finance practice group. Must have prior experience in public finance, commercial loan transactions and/or corporate law. Solid computer skills, knowledge of and experience using MS Word, Outlook Calendar and Excel required. Knowledge of document management system is essential. Excellent oral and written communication skills are essential. Strong proofreading skills are preferred.
