Job Title:
Senior Legal Counsel

Job Responsibilities:
The Senior Legal Counsel will play a crucial role in supporting the company's 5 Pillars of Safety, Quality, Integrity, Compliance, and Security. The responsibilities include:

- Providing legal support to various business functions across North America, including contracts, customer services, procurement, and engineering.
- Leading on-site compliance, risk management, and regulatory efforts.
- Supporting corporate governance by acting as Assistant Secretary to Boards and managing the day-to-day governance of the company's affiliates.
- Supporting mergers and acquisitions (M&A) with the integration of any future subsidiaries.

Primary responsibilities are distributed into key areas:

Contract Negotiation and Development (30%):
- Drafting and negotiating contracts to support procurement and sale of products and services.

Compliance, Risk Mitigation, and Regulatory (30%):
- Supporting the North American Ethics & Compliance team with the implementation and execution of the on-site Compliance Program.
- Driving initiatives like Speak-Up, adherence to internal controls, commitment to anti-corruption, and export control processes.
- Conducting Compliance-related fact-finding investigations.
- Coordinating with the global Legal & Compliance team on US regulatory matters and dispute management.
- Supporting enterprise risk reporting, audits, and crisis management.

Corporate (30%):
- Supporting certain M&A, investment, and post-merger integration projects.
- Advising on corporate governance matters and supporting board of directors and shareholder meetings.
- Maintaining corporate records and business registrations.

Additional Duties as Required (10%):
- Providing ‘One-Roof’ Legal Support across North America.
- Offering high-quality legal advice to business functions, including procurement, contracts, customer services, engineering, and manufacturing.
- Supporting shared services functions including finance, tax, procurement, human resources, government relations, safety, quality, information management, research and technology, strategy, and communications.

Education and Experience Information:

Education:
Required:
- Juris Doctorate from an accredited law school.
- Minimum of 10+ years' experience and admitted to the Bar (preferably Kansas) and in good standing with a license to practice law in at least one . State.

Experience:
Required:
- Minimum of ten (10) years of equivalent experience, preferably with a mix of in-house and law firm experience in related areas.

Knowledge, Skills, Demonstrated Capabilities:
Required:
- Ability to conduct independent research and analysis of issues, providing clear and understandable guidance regarding potential legal risks.
- Experience with global organizations.
- Demonstrated problem-solving skills and ability to manage multiple tasks in a high-pressure environment.
- Ability to develop and deliver effective training to a diverse set of internal and external customers.
- Excellent verbal and writing skills with the ability to communicate effectively with diverse stakeholders.
- Business acumen with a well-developed understanding of the business model and associated risks.

Preferred:
- Experience in the aerospace industry is strongly preferred.

Communication Skills (Spoken, Written, Influencing, Proficiency in Other Languages):
Required:
- Proficient in English, with French or German as a plus.
- Strong verbal and written communication skills.

Technical Systems Proficiency:
- Proficiency in Google (G-suite), Microsoft Word, Excel, PowerPoint, Outlook.
- Familiarity with Westlaw / Practical Law.

Travel Required:
- 10% Domestic and International.

Citizenship:
- Must be authorized to work in the US.

- Involves negotiation-type communication on a daily basis with internal and external parties.

- Hearing: Ability to participate in conversations in person and via teleconference or phone.

- Carrying: Ability to carry documents and electronic equipment up to 15lbs daily.

- Sitting: Ability to sit for long periods in meetings and working on a computer daily.

- Walking: Ability to walk through office and production areas daily.
- Personal Protective Equipment required: Safety Shoes, Safety Glasses, Hearing Protection, Respirators/Masks, and/or Protective Gloves as required.
