Vice President, Legal - General Counsel
Job Responsibilities:
The General Counsel at the company is entrusted with the comprehensive management and coordination of all legal matters pertaining to the organization. The position involves offering expert advice and counsel to senior management, the Board of Directors, and company personnel on legal and regulatory issues. Key responsibilities include:
- Overseeing the legal review of all contracts and agreements issued or received by the company and implementing appropriate document retention policies.
- Acting as the primary interface with and managing outside counsel to maximize cost efficiency.
- Providing ongoing counsel and guidance on all legal and regulatory matters.
- Serving as the key legal advisor on major business transactions, including acquisitions, divestitures, and joint ventures.
- Overseeing litigation of court cases filed against or on behalf of the company, working with executives and outside counsel to develop and implement appropriate litigation strategies.
- Ensuring that the company conducts its business in compliance with applicable laws and regulations, including SEC, FCC, and NASDAQ compliance.
- Structuring and managing the company’s internal legal function and staff.
- Handling all corporate secretarial and corporate governance matters, including collaboration with the Board of Directors and its Committees.
Education and Experience Information:
- Public Company legal experience is required.
- A successful track record of leading an in-house legal department is necessary.
- Telecommunications experience is strongly preferred.
- Experience in corporate law, mergers and acquisitions, contracts, and securities law is advantageous.
- Experience working on corporate governance matters and with a board of directors is required.
- A member of the state bar with at least 10+ years of in-house legal leadership experience.
- Excellent organizational, analytical, and problem-solving skills are essential.
- Strong leadership, interpersonal, and negotiating skills are required.
- A strong sense of urgency, proactivity, and the ability to prioritize competing priorities are necessary.
- The ability to support, drive, and demonstrate the company’s Win Together culture is important.
