Job Title: Corporate Paralegal
Job Responsibilities:
- Maintain executive officer and director beneficial ownership, draft and file Section 16 filings, and assist with the company's stock plan administration and insider trading prevention program.
- Coordinate and prepare board meeting materials for domestic and international entities, including drafting memos, minutes, and resolutions.
- Manage the company's global entities, including entity formation, dissolutions, organizational changes, and annual reports and other statutory filings.
- Draft agreements and certificates, and develop and continuously improve templates and processes.
- Provide support on acquisitions and investments, including diligence review, integration, closing mechanics, and monitoring.
- Assist with other securities and NYSE requirements, including the company's Quarterly and Annual reports, Form 8-Ks, registration statements (Form S-3, S-8), annual stockholder meeting, and listing requirements.
- Help establish and implement best practices for corporate legal and cross-functional teams.
- Assist the corporate legal team with other projects as needed.
Education and Experience Information:
- Minimum Qualifications:
- . or equivalent years of experience.
- 3+ years paralegal experience, with a portion of it working with the corporate legal team in-house or at a law firm.
- Preferred Qualifications:

- Experience with entity management software.
Knowledge, Skills & Abilities:
- Experience working as a paralegal with a fast-growth company in the technology space.
- Familiarity with general corporate matters and governance; knowledge of corporate, SEC, M&A, entity management, and investment terminology and principles.
- Outstanding analytical, communication, organizational, and time management skills.
- Detail-oriented, business-friendly team player, with an ability to accommodate tight deadlines in a fast-paced environment.
- Ability to handle stressful situations and maintain calm and professionalism regardless of circumstance.
- Strong ability to handle multiple internal clients with numerous and varying needs.
- Ability to maintain strict confidentiality of sensitive information.
- Willingness and enthusiasm to wear many hats across many teams to contribute to the business in any way possible.
Salary Information:
- In the United States, work locations are assigned a pay zone which determines the salary range for the position. The successful candidate’s starting pay will be determined based on job-related skills, experience, qualifications, work location, and market conditions.
- Zone A (CA, WA, NYC): The base salary range for this position is $98,000-$146,000 annually.
- Zone B: The base salary range for this position is $93,000-$139,000 annually.
- Zone C: The base salary range for this position is $83,000-$124,000 annually.
- This position is eligible for equity in the form of RSUs.
