Job Title: Governance Attorney
Job Responsibilities:
The Governance Attorney is a crucial member of the Governance team, responsible for managing and executing specific processes within the Governance department. Key responsibilities include:
- Conducting timely and thorough reviews, identifying, and resolving conflicts of interest.
- Preparing conflict waivers and reviewing engagement letters and outside guidelines.
- Reviewing new vendor contracts and handling other risk management-related responsibilities.
- Assisting with the clearance of new hire candidates through conflicts analysis and resolution.
- Drafting language for waiver and engagement letters to address conflicts and engagement issues.
- Ensuring compliance of new vendor agreements with the law firm's standard terms and conditions.
- Reviewing client outside counsel guidelines and engagement agreements to identify deviations from the law firm's policies and drafting appropriate responses.
- Developing internal policies, procedures, guidelines, and best practices regarding information governance issues, including security and privacy.
- Leading and supporting risk management-related projects and initiatives.
- Maintaining updated knowledge of the American Bar Association (ABA) Model Rules of Professional Conduct and jurisdictional differences in all states and practice areas where the law firm operates.
- Assisting in the daily operation and maintenance of the law firm's internal legal holds and the collection, preservation, and destruction of documents.
- Advising attorneys and professionals on all aspects of the law firm's governance policies and integrating feedback into policy and process adjustments as necessary.
- Ensuring compliance with firm-wide processes related to audit letters, outside counsel guidelines, conflicts checks, and new business intake.
- Serving as an escalation point for Governance Analysts and troubleshooting conflicts issues through to resolution.
- Performing legal research, including reviewing case law and jurisdictional issues related to conflicts clearance, lateral hiring, ethical walls, records disposition, and related issues.
- Performing other duties as assigned.
Education and Experience Information:
- Juris Doctor degree from an ABA-accredited educational institution.
- Admission to the California Bar, active and in good standing, or admission in another jurisdiction with a willingness to take and pass the California Bar within one year.
- Minimum of 5 years of law firm conflicts research and analysis experience.
- Advanced ability to be proactive, analytical, and use critical thinking skills.
- Ability to work in a fast-paced environment and interact professionally with others.
- Excellent attention to detail.
- Proficiency in Boolean Search Terms & Connectors is preferred.
- Proficiency in Microsoft Office with advanced skills in Excel and PowerPoint.
- Proficiency in InTapp Conflicts/Intake (or 3E/Elite Enterprise).
- Strong communication skills.
- Ability to deliver consistently excellent customer service.
Salary Information:
The salary range for the Governance Attorney position is $141, - $198,. This range is the one that the law firm reasonably expects to pay for this position. However, the salary range does not guarantee, obligate, nor set expectations of an applicant’s wage in the event of hire. The posted range is only one component of the law firm's Total Rewards package.
Additional Information:
The Governance Attorney position is a full-time, exempt role, primarily offsite but in-office based on business needs. It is available in Los Angeles, San Francisco, or Washington . The position does not have direct reports. Physical demands include writing, typing, reading, speaking, hearing, seeing, sitting, bending, reaching, and lifting up to 25 lbs. The working conditions involve a quiet office environment in a high-rise building, with the majority of the time seated.
