Job Title: Tax Director, Transaction Advisory Services
Job Responsibilities:
- Collaborate with transaction advisory partners to expand the practice.
- Lead teams in M&A tax consulting, including deal structuring, due diligence, post-deal integration, tax attribute management, and special projects.
- Work with partners and internal support functions to identify new market opportunities and develop new business.
- Build and manage significant client relationships, both new and existing.
- Mentor staff and contribute to team and resource development.
- Participate in multiple client engagement teams for due diligence and structuring engagements related to transactions pursued by private equity and strategic corporate entities.
- Identify and analyze tax risks and opportunities, advising buyers and sellers on alternative tax strategies for acquisition, disposition, and restructuring of businesses.
- Assist in reviewing and analyzing merger agreements and providing opinion letters.
- Review, assess, and advise clients on the tax computations in their financial models, and assist in the quantitative and qualitative analysis of tax data in financial projections for transactions.
- Manage risk and financial performance of engagements, including budgeting, billing, and collection.
- Develop and mentor subordinates to support career satisfaction and progression.
- Perform other duties as required.
Supervisory Responsibilities:
- Supervise staff on all projects and engagements.
Education and Experience Information:
- Education: Bachelor’s degree required, preferably in Accounting, Finance, Economics, or Statistics. Juris Doctor (JD) or Master of Laws (LLM) with a focus on tax, and a Master’s degree in Accounting or Tax are preferred.
- Experience: Nine or more years of relevant experience, with at least five years of Transaction Advisory Services (TAS) relevant experience required. Prior supervisory experience is also required.
- License/Certifications: CPA certification, Attorney (admitted to practice in a . jurisdiction), or Internal Revenue Service Enrolled Agent (EA), or an equivalent designation is required. Other professional degrees or certifications applicable to the role are preferred.
- Software: Proficiency in Microsoft Office suite is required.
Other Knowledge, Skills & Abilities:
- Ability to manage multiple client engagements and client service teams.
- Excellent verbal and written communication skills.
- Ability to articulate complex information when providing crucial negotiation insights.
- Technical competence across multiple US federal, international, and state income tax disciplines.
- Fundamental working knowledge of non-income based federal, state, and foreign tax regimes, including indirect, payroll, property, and ad valorem taxes.
- Understanding of US GAAP, including accounting for income tax principles.
- Knowledge of tax controversy and procedure.
- Ability and willingness to travel when necessary.
