**Members Only** is seeking a highly motivated and experienced Corporate Attorney to join our team and engage in sophisticated and challenging corporate work for clients nationwide. With a focus on SEC reporting obligations, this role also offers the opportunity to work on corporate governance, M&A, and venture capital transactions.
The ideal candidate will have a Juris Doctor degree from an ABA accredited law school and be an active bar licensee in the state where they will work. They should also have 3-8 years of experience in professional corporate law, with a strong understanding of public company securities law and related regulations.

This position is available in multiple locations, including Akron, Columbus, and Toledo, Ohio; Sarasota and Tampa, Florida; Charlotte, North Carolina; and Charleston, South Carolina.
Responsibilities:
- Engage in sophisticated and challenging corporate work for clients across the nation
- Focus on SEC reporting obligations, with the opportunity to work on corporate governance, M&A, and venture capital transactions
- Provide legal advice and guidance to clients on Securities Act of 1933 and Securities Exchange Act of 1934 compliance
- Conduct legal research using online services and databases
- Manage and prioritize multiple projects and deadlines
- Maintain confidentiality and work independently
Requirements:
- Juris Doctor degree from an ABA accredited law school
- Active bar license for the state in which candidate will work out of
- 3+ years’ professional corporate law practice with experience in public company securities law and related regulations
- Strong technological skills, including proficiency with practice management systems and portals
- Superior research skills, including the use of online services and databases
- Project management skills, including the ability to successfully manage and prioritize multiple projects and deadlines
- Excellent written and verbal communication skills, as well as analytical, problem-solving, and decision-making skills
- Ability to work independently and maintain a high degree of confidentiality
Physical Requirements:
- Sitting position static for up to one-half hour at a time
- Lifting and carrying up to 20 pounds occasionally, up to one hour per day
