Corporate Transactional Paralegal - Assisting Attorneys in Delivering Legal Services to Clients in Portland, OR

The Corporate Transactional Paralegal position at Stoel Rives LLP is responsible for assisting attorneys in providing legal services to the firm's clients. This role works closely with attorneys and clients and is a key part of the professional client teams. The paralegal will primarily handle transactions with a project finance component and will serve as the first point of contact for many clients.

Key Responsibilities:
- Drafting various legal documents including operating agreements, bylaws, certificates of incorporation, and more
- Preparing structure charts and steps memos
- Compiling final closing books and stock certificates for M&A and corporate refinancing/restructuring deals
- Managing UCC financing statement filings and annual reports
- Filing for employer and tax identification numbers
- Conducting corporate/transactional law and record keeping
- Researching and analyzing legal sources
- Communicating regularly with attorneys and clients
- Managing inventory of closed transaction documentation
- Training and supervising junior paralegals and associates

Position Requirements:
- Bachelor's degree or equivalent experience preferred
- Paralegal certificate and at least 10 years of experience, preferably in project finance
- Strong knowledge of M&A and Project Finance Transactions

Normal Work Hours:
- Non-exempt position with eligibility for overtime compensation
- Essential to be present during regular office hours, with the ability to work longer hours during peak workload periods or fast-moving transactions

Compensation and Benefits:
- Pay range of $83,000 - $139,000, with variation based on skills and experience
