Job Summary

- Junior Paralegal, under supervision of Paralegal, manages and organizes materials and information for specific matters and transactions
- Assists legal staff in due diligence investigations, document productions, and deal closings
- May require long hours and travel

Essential Job Functions

- Assists with all closing matters, including post-closing materials and document distribution
- Prepares and organizes documents and materials, creates indexes and labels, assembles binders, and creates stock certificates and legends
- Handles foreign qualification applications, IRS EIN applications, and orders corporate documents
- Tracks relevant documents and signature pages for attorneys and/or paralegals
- Drafts simple documents such as stock certificates, powers of attorney, and resignations
- Completes UCC search requests and maintains UCC logs
- Conducts general corporate housekeeping tasks, such as maintaining minute books and filing franchise tax returns
- Proofreads, duplicates, and scans documents to PDF, and manages document management system
- Conducts research on various databases
- Performs clerical tasks as needed, such as making copies and preparing packages
- Commits to working overtime as needed, including weekends and holidays, and is available for travel

Qualifications & Requirements

- College graduate with strong interest in legal profession and corporate law
- Excellent oral and written communication skills
- Ability to work independently and with a team, with strong attention to detail and ability to multi-task in a high-pressure, deadline-driven environment
- Overtime availability and college degree required

Technologies/Software

- Strong technical skills required, including Microsoft Word, Excel, Outlook, Adobe Acrobat, and Document Management System
- Knowledge of Carpe Diem, Westlaw, Relativity, Compulaw, and Sharepoint a plus

Work Environment

- Professional office environment
