We are currently seeking an experienced Paralegal to join our dynamic Corporate Department, working closely with our team of attorneys on private and public company matters. This is an important role in our firm, responsible for handling various tasks related to formations, compliance, corporate governance, financing, mergers, public offerings, and capital market transactions.

Key responsibilities for this position include:

- Preparation of corporate documents such as incorporation documents, board and shareholder actions, indemnification agreements, and third-party agreements.
- Management of stock and option administration, including drafting agreements and preparing reports.
- Oversight of capitalization processes and records in equity management platforms, including Rule 701 analysis.
- Conducting research to prepare and manage corporate and securities filings.
- Assisting with D&O Questionnaires.
- Handling public company governance filings and tasks, such as Section 16 reporting, legend removal letters, and transfer agent matters.
- Preparation of EDGAR Code applications and stockholder documents.
- Communication with clients, holders, directors, investors, and auditors.
- Management of due diligence and closing processes.
- Compilation and distribution of closing documents and closing volume.
- Assisting with franchise taxes, SEC yearly filings, and notices to clients.
- Daily management of corporate maintenance work.
- Organization of client records and maintenance of files.
- Daily time entry.

The ideal candidate for this position will possess the following qualifications:

- Bachelor's Degree or Paralegal Certificate.
- Previous experience as a corporate paralegal at a law firm.
- Strong understanding of corporate tasks for both private and public companies.
- In-depth knowledge of corporate governance matters and transactional work.
- Familiarity with securities and corporate laws.
- Experience with capitalization management platforms such as Shareworks and Carta.
- Proficiency with Excel spreadsheets.
- Detail-oriented and highly organized, with excellent analytical skills.
- Exceptional communication and prioritization skills, able to manage multiple projects simultaneously under tight deadlines.

While the primary location for this position is Palo Alto, we also have openings in San Francisco. The base pay for this position will vary depending on several factors, including the selected candidate's qualifications, experience, education level, professional certifications and licenses, and work location. The expected salary range for this role is as follows:

San Francisco and Silicon Valley: - per hour.

Austin, Boston, Boulder, District of Columbia, Los Angeles, New York, San Diego, Seattle, and Wilmington: - per hour.

Salt Lake City and all other locations: - per hour.
