The Law Firm of Reed Smith LLP, located in New York, is currently seeking a mid-to-senior level associate for our growing Litigation - Transportation Industry Group. This position is focused on our capital markets and securities law practice, specifically in the transportation industry. We are looking for a candidate with a minimum of 3 years of experience in corporate transactions, with a strong emphasis on debt and equity capital markets transactions. The ideal candidate will also have experience in disclosure, corporate governance, and SEC and stock exchange reporting and compliance matters.

The ideal candidate will have the opportunity to work with partners and counsel on a variety of transactional matters for a diverse range of clients, including lenders and other financiers such as private equity funds. This position requires the ability to work independently in a fast-paced transactional environment. Candidates with big law firm experience, strong interpersonal skills, and a strong academic background are preferred.

Key responsibilities for this position include:

- Representing public and private companies, including foreign private issuers, in corporate transactions
- Handling debt and equity capital markets transactions, including SEC-registered and Rule 144A offerings
- Assisting with disclosure, corporate governance, and SEC and stock exchange reporting and compliance matters
- Conducting legal analysis and preparing beneficial ownership reports (such as Schedules 13D and 13G) and periodic reports (such as Forms 10-K or 20-F, 10-Q or 6-K) and annual proxy materials under the Securities Exchange Act of 1934
- Working with partners and counsel on a broad range of transactional matters for a variety of clients, including lenders and other financiers, including private equity funds
- Independently managing and handling tasks in a fast-paced transactional context
- Communicating effectively with colleagues and clients
- Maintaining a strong understanding of current laws and regulations in the transportation industry

Qualifications for this position include:

- Minimum of 3 years of experience in corporate transactions
- Experience with debt and equity capital markets transactions, including SEC-registered and Rule 144A offerings
- Familiarity with disclosure, corporate governance, and SEC and stock exchange reporting and compliance matters
- Strong legal analysis skills and experience preparing beneficial ownership reports and periodic reports under the Securities Exchange Act of 1934
- Ability to work independently in a fast-paced transactional environment
- Excellent interpersonal skills when communicating with colleagues and clients
- Strong academic background
- Big law firm experience preferred
