Key responsibilities for this position include:

- Representing public and private companies, including foreign private issuers, in corporate transactions
- Handling debt and equity capital markets transactions, including SEC-registered and Rule 144A offerings
- Assisting with disclosure, corporate governance, and SEC and stock exchange reporting and compliance matters
- Conducting legal analysis and preparing beneficial ownership reports (such as Schedules 13D and 13G) and periodic reports (such as Forms 10-K or 20-F, 10-Q or 6-K) and annual proxy materials under the Securities Exchange Act of 1934
- Working with partners and counsel on a broad range of transactional matters for a variety of clients, including lenders and other financiers, including private equity funds
- Independently managing and handling tasks in a fast-paced transactional context
- Communicating effectively with colleagues and clients
- Maintaining a strong understanding of current laws and regulations in the transportation industry

Qualifications for this position include:

- Minimum of 3 years of experience in corporate transactions
- Experience with debt and equity capital markets transactions, including SEC-registered and Rule 144A offerings
- Familiarity with disclosure, corporate governance, and SEC and stock exchange reporting and compliance matters
