## H1: Mid/Senior Level Securities Associate with Kilpatrick Townsend & Stockton LLP
Kilpatrick Townsend & Stockton LLP is seeking an experienced Securities Associate to join their Securities Team. The ideal candidate will be mid/senior level with at least 5 years of direct experience with a practice focused at least 50% on Securities work. The candidate will be based in their Atlanta, Chicago, DC, or Menlo Park office and will support the public company clients of the Firm’s Securities Team and Financial Institutions Team with regular periodic reporting requirements.

## H2: Salary and Job Responsibilities
The salary range for this position is $270,000 – $355,000. The job responsibilities for the position include:

• Ensuring client compliance with federal and state securities laws, with particular focus on ’34 Act reporting.
• Preparing/reviewing or advising on routine client SEC filings; Annual Reports on Form 10-K, Quarterly Reports on Form 10-Q, Current Reports on Form 8-K, Proxy Statements, and Section 16 filings.
• Providing support for securities offerings and capital markets transactions, including public and private issuances of equity and debt securities. Capital Markets work will principally be focused on issuer representations and include all forms of capital raises.
• Preparing and/or reviewing or advising on other SEC filings, including Form S-8 and Form SD.
• Drafting, reviewing and periodically updating corporate governance and related policies (including Corporate Governance Guidelines, Clawback Policies, and Insider Trading Policies).
• Assisting clients with the preparation and planning for the annual stockholder meeting and shareholder engagements.
• Advising on general securities disclosure matters, including press releases, earnings releases, investor presentations and other external communications.
• Assisting clients with compliance with applicable NYSE and Nasdaq requirements, including annual and periodic updates.
• Providing, as needed, support for general M&A activity.
• Working with the securities team to draft and publish blog entries and alerts on material new securities law developments.
• Working with the securities team to coordinate training on securities and corporate governance matters, including insider trading and Regulation FD.
