We are currently seeking a Corporate Transactions Attorney to join our highly respected Corporate & Business Transactions team in either our Richmond or Charlottesville office.

As a Corporate Transactions Attorney at Woods Rogers, you will have the opportunity to work on a wide range of corporate matters, from M&A and private equity transactions to corporate governance and securities compliance. You will be an integral part of our team, providing strategic legal advice to clients and helping them navigate complex business transactions. What We're Looking For

We are seeking a highly skilled and motivated attorney with a minimum of 3 years of experience in corporate law, specifically in the areas of M&A, private equity, securities, or related transactions. The ideal candidate will have a strong academic background, a Juris Doctor (JD) degree, and admission to the state bar of Virginia. In addition, we are looking for someone with the following qualifications:

- Strong understanding of corporate governance, business law, and commercial contracts
- Familiarity with federal securities laws, Virginia corporate law, and other relevant regulatory frameworks
- Significant experience managing and advising on corporate transactions and complex negotiations
- Excellent negotiation, drafting, and communication skills
- Client-focused with a collaborative approach to problem-solving

Key Responsibilities

As a Corporate Transactions Attorney at Woods Rogers, you will be responsible for a variety of tasks and projects, including:

- Leading or assisting with the negotiation, structuring, and execution of M&A transactions
- Advising on private equity investments, including fund formation, portfolio company investments, buyouts, recapitalizations, and exits
- Counseling clients on corporate governance matters, including board and shareholder issues, executive compensation, and compliance with corporate laws
- Providing legal counsel on securities law matters, such as public offerings, private placements, SEC filings, and compliance with applicable regulations
- Drafting, reviewing, and negotiating a variety of commercial contracts, such as joint ventures, licensing agreements, shareholder agreements, and employment agreements
- Conducting legal research on corporate law issues, emerging trends in corporate governance, and regulatory changes
- Developing and maintaining strong client relationships and regularly communicating with clients to understand their business objectives and provide tailored legal advice
- Collaborating with other attorneys in the corporate group and across practice areas to provide seamless service to clients
- Managing multiple transactions simultaneously, ensuring that all deadlines and client expectations are met while maintaining high-quality work product
