Senior Paralegal - Full-Time/Regular - WilmerHale Law Firm Salary: $129,000 - $162,000 USD Job Description: - WilmerHale is a leading international law firm with 12 offices and 1,000 lawyers worldwide. - We provide excellent legal and client services, promote diversity, and foster a collaborative and ambitious environment. - Our goal is to reflect the diversity of our clients and communities in which we practice. - As a Senior Paralegal, you will work closely with attorneys and clients on incorporation, corporate governance, and various transactions. - You will also assist with stock issuance and plan administration, as well as SEC filings and searches. - This role requires strong communication, organizational skills, and proficiency in Microsoft Office. - Experience with Closing Folders and equity tracking systems is preferred. - The ability to supervise and work overtime and travel is also required. Responsibilities: - Formation, maintenance, and dissolution of business entities. - Assist with venture capital financings, mergers and acquisitions, public offerings, and loan and securities transactions. - Manage stock issuance and plan administration. - Use web-based equity tracking systems to maintain company capitalization. - Act as a liaison with ongoing clients for stock and corporate record maintenance. - Assist with SEC filings and searches. - Additional responsibilities as assigned. Requirements: - Minimum of 5 years of related experience, with a focus on general corporate and transactional work. - BA/BS preferred. - Notary preferred. - Ability to work overtime and travel.
