Responsibilities:

- Organize due diligence materials, working with vendors and counterparties
- Draft and update closing checklists
- Review and draft ancillary documents for various transactions
- Prepare initial drafts of UCCs, orders, and reviews of liens and other searches
- Communicate with clients, counterparties, agents, and third parties regarding ongoing transactions
- Obtain and organize signature pages
- Coordinate the closing of transactions
- Prepare closing sets

- Strong interpersonal, analytical, research, and writing skills

The New York office of Chapman and Cutler LLP, a leading corporate law firm, is seeking a Corporate Paralegal to join its fast-paced, finance-focused practice. This is an exciting opportunity for a bright, hard-working individual with strong communication skills and excellent attention to detail. The firm is open to considering candidates with prior large law firm experience and lending experience, but is also willing to train a motivated individual interested in learning about their practice. Recent graduates who are looking to gain experience in a law firm environment and have an interest in attending law school in 2-4 years are also encouraged to apply.

As a Corporate Paralegal at Chapman and Cutler LLP, you will work closely with attorneys in the securitization, lending, special workouts, M&A, and bankruptcy departments. This position offers opportunities for direct contact with partners and clients, as well as the chance to work on multiple deals for various attorneys in a fast-paced setting. Your day-to-day work will include organizing due diligence materials, drafting and updating closing checklists, reviewing and drafting ancillary documents, and preparing initial drafts of UCCs, orders, and reviews of liens and other searches. You will also have the opportunity to communicate with clients, counterparties, agents, and third parties regarding ongoing transactions, obtain and organize signature pages, coordinate the closing of transactions, and prepare closing sets.

To be successful in this role, you should have a Bachelor's degree and excellent document production skills. Strong interpersonal, analytical, research, and writing skills are also essential, as well as the ability to project a professional presence and accept constructive feedback.
