##### Summary of Senior Paralegal Role

The Senior Paralegal will be a critical part of Law Firm's client service teams, working side by side with lawyers, co-counsel and clients on an array of substantive client matters. The Senior Paralegal will be responsible for:

* Organizing, preparing and filing Articles of Incorporation/Organization, state qualifications, organizational and related documents
* Preparing documents for transactions such as closing statements, UCC searches and filings, filing annual reports in states where corporations are incorporated and/or qualified to do business and maintains capitalization tables as well as stock and options ledgers
* Organizing documents and closing books in connection with corporate transactions such as acquisitions and mergers
* Developing, monitoring and updating closing checklists
* Performing Blue Sky research and filings
* Maintaining minute books (hard copy and electronic)
* Managing data rooms and matter files

##### Qualifications and Requirements

*
* 6 years' experience as a paralegal in a legal department or law firm
* Strong skills in Microsoft Word, Excel, and Outlook
* Strong verbal, written, and interpersonal skills
* Strong organizational skills and attention to detail

Preferred Requirements:

* Experience in a large law firm or professional services organization
* Experience in Blue Sky
* Private and public company experience

##### Compensation

The salary range for this position is $113,000 – $135,000 per year. The compensation offered to a candidate selected for employment will be dependent upon various factors, including the candidate’s geographic market, skills, educational and professional background, experience and overall qualifications.
