• Draft documents for financing and other commercial transactions

• Summarize entity organizational documents and due diligence

• Update deal checklists and track due diligence

• Prepare organizational documents for entities

• Create stock certificates, powers, and transfer documents

• Prepare officer certificates and resolutions

• Coordinate searches for state and federal tax liens, UCC filings, and judgments

• Review and summarize search results

• File UCC and mortgage releases

Responsibilities for this position include drafting documents for financing and other commercial transactions, conducting and summarizing entity organizational documents and due diligence, and preparing organizational documents for entities. The Corporate Paralegal will also coordinate searches for state and federal tax liens, UCC filings, and judgments, and review and summarize search results.

To be considered for this position, candidates must have a , as well as 3+ years of paralegal experience. Experience with general corporate paralegal work, such as corporate filings and UCC searches, is recommended. The ideal candidate will also have proficiency in Microsoft Office, strong communication skills, attention to detail, and the ability to work well under tight deadlines and in a team environment.
