**Job Summary**

The Corporate & Securities Associate will practice primarily in the areas of mergers and acquisitions, private and public securities offerings and compliance, entity formation and governance, commercial contracting, drafting technology agreements and general business counseling.

**Responsibilities and Duties**

- Drafting, reviewing and negotiating transactional documents and other contracts
- Advising clients on corporate governance matters
- Assisting with private and public securities offerings and compliance
- Assisting with mergers and acquisitions
- Assisting with entity formation and governance
- Assisting with commercial contracting and technology agreements
- Assisting with general business counseling

**Qualifications and Skills**

- Juris Doctor degree from an accredited law school
- Two years of relevant law firm experience preferred
- Commitment to transactional practice
- Proven superior academic performance
- Excellent communication skills
- High level of motivation and maturity
