Corporate Paralegal at Larkin Hoffman Larkin Hoffman is looking for a Corporate Paralegal to join their Corporate and Business Law practice group, which includes their nationally recognized Franchise Group. This position will provide project management, franchise-related and general corporate maintenance, and client services in partnership with attorneys. Job Duties The Corporate Paralegal will have the following duties and responsibilities: • Support Corporate and Business Law attorneys with client needs including, but not limited to, docketing, managing deadlines, document gathering for FinCEN reporting, and researching laws applicable to the client matter. • Prepare closing instruction letters, documents and binders, review title polices and filings with the Secretary of State, Department of Corporations, IRS, and the Franchise Tax Board. • Manage the firm’s upcoming FinCEN CTA data gathering project including PII, BOI and Applicant details and reporting of same related to all Reporting Companies. • Support Corporate and Business Law attorneys with preparation of applications for foreign qualifications, mergers, dissolutions, and annual renewals in various states. • Coordinate pre-filing, filing, post-filing, and recordkeeping activities for the Franchise Group. Under the supervision of assigned attorneys, certain duties will include preparation of fee requests, state correspondence letters, franchise registration and exemption applications, franchise seller disclosure forms, and franchise disclosure documents (“FDD”). • Assist with FDD preparation by editing and compiling multiple documents into final FDD. Electronically submit franchise filings using NASAA EFD and various franchise regulatory websites. • Prepare for filing and file franchisor advertising with various states, calculate effective dates, and report to clients. Qualifications • and a minimum of three years of prior paralegal experience. • Four years of legal administrative assistant experience may be substituted for three years of paralegal experience. • Proficiency with Document Review and Case Management software. • Intermediate skills working with Microsoft Office (Word, Outlook, Excel are required). • Preference will be given to candidates with prior Corporate or Franchise Paralegal experience.
