Job Summary:

Frost Brown Todd LLP, a national law firm of 1000+ legal and business professionals in sixteen offices, is seeking a Corporate Paralegal to join our team. This is a full-time position that requires excellent written and verbal communication skills, strong organizational skills, attention to detail, and a teamwork focus. The successful candidate will have the opportunity to work in one of our four office locations: Cincinnati, OH; Columbus, OH; Indianapolis, IN; or Nashville, TN.

Job Responsibilities:

• Draft documents for financing and other commercial transactions.

• Conduct and summarize entity organizational documents and due diligence.

• Update deal checklists and keep track of all due diligence.

• Draft and prepare organizational documents for entities.

• Prepare stock certificates, stock powers, and other stock transfer documents.

• Prepare officer certificates and resolutions.

• Coordinate searches in state and county jurisdictions for state/federal tax liens, UCC filings, judgments, outstanding litigation, and similar items.

• Review and summarize search results.

• Prepare and file UCC and mortgage releases and similar documents.

Job Requirements:

• 3+ years of paralegal experience.

• Experience with general corporate paralegal work, such as corporate filings, UCC searches, and minute books. Experience with loan transactions is recommended.

• Proficiency in Microsoft Office, including Outlook, Excel, and Word.

• Strong communication skills – both verbal and written.

• Extraordinary attention to detail and strong organizational skills.

• Comfortable performing repetitive tasks.

• Ability to work well under tight deadlines, prioritize, and multi-task when needed.

• Ability to work individually or in a team environment.
