Corporate Transactional Paralegal – Assisting Attorneys in Delivering Legal Services to Clients at Leading Law Firm

Salary Range: $83,000 - $139,000 (Based on Market Location)

Stoel Rives LLP, a top corporate and litigation law firm, is seeking a Corporate Transactional Paralegal to join their team in Portland, OR or any of their other office locations. This position offers an exciting opportunity to work with a variety of clients and assist in a wide range of corporate and transactional matters.

Responsibilities:

- Draft various legal documents including operating agreements, bylaws, certificates of incorporation, and financing documents
- Prepare structure charts and steps memos
- Manage preparation and assembly of documents for closings
- Conduct lien and litigation searches and analyze results
- Maintain and update corporate records and minute books
- Research and analyze legal sources
- Communicate regularly with attorneys and clients regarding project status and deadlines
- Train and supervise incoming associates and summer associates
- Travel occasionally for closing dinners and client events

Requirements:

- Bachelor's degree preferred, or equivalent experience
- Paralegal certificate and at least 10 years of experience, including in project finance
- Strong knowledge of Mergers and Acquisitions and Project Finance Transactions
- Excellent organizational and communication skills
- Ability to work long hours during peak workload periods or fast-moving transactions
