Agreements Specialist (Technology Transfer Professional 1)
The candidate will interface and integrate contract and business development functions for delivering on proposal and agreement requirements. Work with and support FCI Contracts Team, Business Development Team, Licensing and Intellectual Property Teams, Laboratory program directors/managers, line managers, principal investigators (PIs), company executives, Laboratory and corporate attorneys, and CRADA/SPP team members to develop agreements appropriate for each business endeavor which could result in a nondisclosure agreement (NDA), user facility agreement, strategic partnership project (SPP), or collaborative research and development agreement (CRADA). Work with Line, Program and FCI staff on various Federal and Non-Federal Entity proposals and proposal awards awarded by Federal sponsor and/or through a non-Federal entity. Submit and track invention disclosures arising from Department of Health and Human Services (HHS) funded research in the system iEdison as well as ensure the information contained in that system is identical to invention disclosures in FCI’s IP Manager system. Interact with Office of General Counsel (OGC) on Intellectual Property (IP) issues to ensure OGC-IP’s review of FCI proposed agreements is understood and to convey feedback related to legal or business risks associated with an agreement and integrate appropriate agreement modifications as needed. Identify deviations in proposed FCI agreements from compliance regulations that include DOE Orders, Federal Regulations, Guidance documents/memos, and LANL Prime Contract requirements and other policies and procedures that apply to sponsored work and work with business development and OGC-IP staff. Work with business development and OGC-IP staff to modify or amend agreements as needed to align with compliance regulations. Utilize dedicated electronic systems, maintain detailed accurate records, ensure agreement compliance and any application of associated processes for each designated agreement type. Interact with the Los Alamos Field Office (LANL’s DOE oversight office) which may include Funding Opportunity Announcements (FOA) notifications and approvals (FOA/NOI) and other interactions to finalize various funding and project approvals. Work with company executives, lawyers (as appropriate), and DOE officials to establish agreements such as those listed above. Maintain a high volume of ongoing agreement negotiations. Understand and explain standard DOE/LANL/Triad agreement language to potential industrial partners as well as internal LANL personnel. Maintain agreements-related data in Laboratory databases. Report on the status of agreements to various audiences. Assist the technical staff in understanding and following agreement procedures. Actively participate in the Strategic Sponsored Work team to understand and resolve agreement-related issues that may arise through an agreement’s negotiation or lifecycle. Provide input on process improvements. Participate in additional activities in the areas of Federal sponsored work, which may include funds-in processing, assisting with proposal processes and utilizing associated electronic systems.

Qualification and Experience The candidate should have a Bachelor’s degree in business or administration or a related field. Should have 2+ years related experience, or an equivalent combination of education and experience. A paralegal degree or certificate, or a Project Management Institute certificate would be of merit. Advanced degree preferred. Background in working with federal laboratory scientists in contract R&D proposal submission, technology transfer and project management. Background in risk management in this area or other occupations. Familiarity working with business development personnel and IP management personnel to navigate any complexities related to technology portfolios to be leveraged under new opportunities (i.e., what would be the impact of this work if awarded on other efforts?). Basic understanding or familiarity with Laboratory Prime Contract, Technology Transfer legislation, and relevant DOE Orders and Federal Regulations associated with Sponsored Work. Understanding of basic IP rights, laws, policies, and procedures and how they may be used in negotiations. Basic knowledge of training concepts and program development practices. Demonstrated on-the-job experience working with formal DOE, Federal Lab or University contract mechanisms as described herein. Current DOE Clearance desired. Demonstrated basic knowledge of proposal mechanisms; Demonstrated basic knowledge of contractual mechanisms. Demonstrated basic knowledge of general marketing concepts and tools. Proven ability to build rapport and converse with diverse constituencies, including Principal Investigators, various levels of staff and management both internal and external to the Laboratory. Proven ability to translate technical concepts into agreement languages, such as non-disclosure purpose and discussion topics, statements of work and/or invention disclosures. Proven ability to multi-task, such as managing multiple agreements in parallel in a fast-paced environment. Demonstrated excellent communication skills, including speaking, writing, presenting, listening and negotiating with technical, legal and business professionals. Demonstrated initiative, versatility, and accuracy in the performance of work product; Must have an excellent record of dependability, availability, attendance and punctuality. Basic knowledge of project management concepts to assist with oversight of agreement portfolio throughout its lifecycle.
