H2: Exciting Opportunity for Experienced Corporate Paralegal

Dentons US LLP, a top-ranked law firm, is seeking a full-time Corporate Paralegal to join our team in either Chicago, Kansas City or New York (other locations considered). This position will support our Corporate practice group and report to the Senior Practice Director.

Responsibilities:

- Assist lawyers throughout corporate transactions and ensure compliance with federal, state, and local regulations.
- Conduct due diligence reviews.
- Coordinate transaction closings and manage all necessary documents and deliverables.
- Handle corporate and securities filings, including Form D and state blue sky filings.
- Prepare and file UCC financing statements.
- Order and evaluate UCC, lien, and litigation searches.
- Assist with entity formation and maintenance.
- Review and assemble officer’s certificates, resolutions, and other necessary documents.
- Conduct legal and factual research and prepare reports as needed.
- Communicate with clients and outside entities regarding assigned matters.
- Other duties as assigned.

Experience & Qualifications:

- Bachelor's or Associates Degree, Paralegal Certificate, or equivalent experience required.
- Minimum of 5 years of corporate law experience, preferably in a law firm setting.
- Blue sky experience preferred.
- Strong organizational skills, attention to detail, and ability to prioritize and meet deadlines.
- Excellent client service and communication skills.
- Ability to work well under pressure and with all levels of team members.
- Strong verbal, written, analytical, and interpersonal skills.
- Discretion and ability to handle confidential matters.
- Ability to train and guide junior team members.
- Understanding of legal concepts and ability to comprehend facts.
- Proficiency in Microsoft Office, PDF creation tools, document management software, and timekeeping software.
- Ability to work overtime as needed.

Salary Range - Chicago and New York Only: $120,000 - $140,000 DOE
