Job Overview:
A well-established law firm is seeking a motivated Junior Project Finance Associate Attorney to join its growing financial services practice. This position provides an excellent opportunity for attorneys with 2-3 years of experience in project finance, particularly those familiar with both lender- and borrower-side transactions. The role will involve engaging with a variety of complex project finance matters, including tax equity bridge loans, pre-NTP financings, and various supply and offtake agreements.

Duties:

  • Draft and review credit facilities, depositary account agreements, letters of credit, performance bonds, and payment bonds.
  • Assist in the preparation and review of the balance of plant agreements, supply agreements (such as transformer, module, BESS, turbine, and inverter agreements), and offtake or tolling agreements.
  • Draft and close security documents, including security agreements, pledge agreements, financing statements, and control agreements.
  • Prepare NY-law legal opinions and direct agreements, including consents to collateral assignments and reliance letters.
  • Conduct due diligence and prepare bankability analysis on project documents.
  • Work collaboratively with senior attorneys and clients on various project finance-related tasks, including negotiations and strategy.
  • Assist in managing documentation for large-scale, complex project finance deals.

Requirements:

  • 2-3 years of experience in project finance, with exposure to both lender and borrower-side transactions.
  • Knowledge of LSTA Credit Agreements, New York law-governed Security Documents, and Project Documents (EPC Contracts, Offtake Agreements, Supply Agreements, and Reliance Letters).
  • Demonstrated ability to manage and prioritize tasks in a fast-paced environment.
  • Strong attention to detail and excellent organizational skills.
  • Ability to work independently and as part of a team.
  • High level of professionalism and excellent communication skills.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Strong academic credentials.

Certifications:

  • Licensed to practice law in Washington, DC (or eligible to become licensed).

Skills:

  • Project finance experience, including drafting and negotiating complex financial agreements.
  • Strong writing and research abilities.
  • Knowledge of commercial contracts and security law.
  • Ability to interact with clients, colleagues, and stakeholders professionally and effectively.
