Lead Counsel 2 - Global Finance (Hybrid)
Job Responsibilities:
The Lead Counsel II is a senior level position tasked with providing legal guidance and thought leadership to the Markets Treasury business across North America and Latin America. The primary objective of this role is to deliver legal support, advice, and guidance by reviewing, negotiating, and revising transaction documentation and advising the business on contractual terms.
Key responsibilities include:
- Providing legal counsel to the business, participating in strategic initiatives, and offering expertise and interpretations of relevant laws, rules, regulations, and industry practices.
- Advising business management on legal matters impacting the business.
- Collaborating with legal peers to evaluate business proposals by applying institutional knowledge, risk appetite, and industry standards, escalating issues as appropriate.
- Working with internal lines of business, control/support functions, and external counsel to achieve coordinated outcomes on matters of common interest.
- Participating in business planning and development initiatives and contributing to business objectives through thought leadership and knowledge of industry laws and regulations.
- Identifying, evaluating, and managing legal, regulatory, and reputational risk in collaboration with ICRM & Risk, and following relevant legal developments.
- Managing day-to-day legal activities as a subject matter expert in the area of responsibility and providing advisory services to business partners.
- Monitoring and managing complex legal issues and transactions, escalating when necessary.
- Assessing risk when making business decisions, ensuring compliance with applicable laws, rules, and regulations, and adhering to company policies.
- Supporting the Covered Business on transaction execution by reviewing and revising transaction documentation, advising on contractual terms, and identifying risks to the business and credit partners.
Education and Experience Information:
- Candidates should possess 6-10 years of relevant industry experience, preferably in financial services, with 3-5 years in an attorney role.
- Experience in banking or financial industry regulations is required.
- Knowledge of international laws, regulations, and practices is essential, along with staying updated on regulatory and legal environments, internal policies, and industry trends.
- Experience with complex deals and the ability to analyze issues and develop legal solutions is necessary.
- Effective communication and negotiation skills, along with the ability to build and maintain trusted relationships, are crucial.
- Excellent interpersonal, organizational, and relationship management skills are needed.
- Candidates must demonstrate the ability to apply sound judgment while managing assignments in a demanding, fast-paced environment.
- Bar licensed in good standing to practice law.
Education:
- Juris Doctorate or experience equivalent to that of a practicing lawyer.
Salary Information:
Primary Location Full Time Salary Range: $140, - $210,
In addition to salary, eligible employees may receive discretionary and formulaic incentive and retention awards.
