Job Title: Private Markets Fund Attorney

Job Responsibilities:
- Draft, review, and negotiate operative documents such as limited partnership agreements, LLC agreements, subscription agreements, private placement memoranda, and other ancillary documents for the company's closed end and evergreen commingled funds and separately managed accounts, often in collaboration with outside counsel.
- Coordinate with structuring and product development teams to advise on structuring and launching new funds and client agreements.
- Work on distribution and platform agreements for evergreen funds, overseeing outside counsel and establishing new relationships.
- Draft and negotiate amendments, extensions, re-ups, and other modifications to existing evergreen funds and separate account and single investor/fund-of-one client relationships.
- Manage specialized fund investor negotiations and closings, Most Favored Nation (MFN) processes, and limited partner transfers.
- Ensure compliance with applicable securities and tax laws and regulations, including the Employee Retirement Income Security Act (ERISA).
- Oversee outside counsel in structuring and negotiating fund credit facilities.
- Interface with other business departments, clients/investors and their counsel, outside counsel, and other parties regarding the company's current and prospective closed end and evergreen commingled funds, separate accounts, and single investor/fund-of-one clients.
- Conduct periodic reviews, refine, and update the company's form agreements.
- Handle and coordinate . and . regulatory filings and applications.
- Participate in special projects as assigned.

Education and Experience Information:
- Juris Doctorate from an accredited . law school and licensed to practice in at least one state.
- 4-6 years of work experience as a practicing attorney, preferably in the asset management, fund formation, private equity, or corporate departments of a law firm or financial services business.
- Working knowledge of corporate, partnership, and other private markets law is required, along with a willingness to learn select . regulatory matters.
- Experience with registered 40 Act and global fund formation is a plus.
- Sound practical judgment with a commercial, client-service orientation and a focus on efficiency.
- Excellent communication skills to interact effectively with clients, colleagues, outside counsel, and other parties.
- Strong, proactive work ethic and a commitment to being a collaborative team player.
- Proven analytical and organizational skills with strong attention to detail.
- Ability to handle projects independently from inception to conclusion with minimal supervision.
- Strong interpersonal skills and a positive work ethic, with a high level of integrity.
- Willingness to learn new topics and work in an evolving business environment.
