Job Overview:
A prestigious law firm with a national presence is seeking a highly qualified Corporate Associate with 3–5 years of experience in investment management and private fund formation. This position is ideal for a legal professional eager to join a dynamic private equity and finance team. The successful candidate will contribute to high-level corporate transactions, regulatory compliance matters, and the structuring of sophisticated investment vehicles. This role provides the opportunity to work with a broad client base, including institutional investors, family offices, and investment managers, across a variety of jurisdictions.

Duties:
Provide legal counsel on investment management and private fund formation matters
Advise clients on investment adviser regulatory obligations
Draft and review complex fund-related and corporate transactional documents
Negotiate and document private equity and venture capital financings
Represent family offices and institutional investors in strategic transactions
Handle general corporate matters and M&A transactions
Support clients with sub-advisory agreements, side letters, and marketing materials
Collaborate across teams to deliver tailored legal solutions
Requirements:
3–5 years of relevant legal experience in investment management and private funds
Demonstrated ability to handle complex transactional and regulatory work
Strong client service and interpersonal skills
Proactive and solutions-oriented approach
Effective independent and team-based work ethic
Licensed and in good standing with the bar in the relevant jurisdiction
Education:
Juris Doctor (.) degree from an accredited law school
Certifications:
Active Bar Admission in good standing in the state where the candidate intends to practice
Skills:
Expertise in preparing documents such as:
Private placement memoranda (PPMs)
Limited partnership agreements
LLC operating agreements
Subscription agreements
Investment and sub-advisory agreements
Strong legal drafting, communication, and negotiation skills
Ability to manage client relationships effectively
Experience with regulatory compliance for investment advisers preferred
Familiarity with family office structures and institutional investment practices a plus
