Position Summary:
- Seeking Junior to Mid-Level Associate for Securities and Capital Markets Group in Fort Lauderdale
- Full-time position with a leading law firm
- Opportunity to work on a wide range of matters related to disclosure obligations, compliance, and corporate governance for public company clients
- Collaborate with a team of experienced attorneys on various transactions and engagements
- Stay informed on developments in securities laws, corporate governance, and executive compensation
Responsibilities:
- Advise public company clients on disclosure obligations under federal securities laws
- Assist clients in complying with listing standards of major . exchanges
- Support clients in interactions with the SEC and prepare necessary filings and communications
- Draft and review Exchange Act filings such as Forms 10-K, 10-Q, 8-K, and proxy statements
- Provide guidance on executive and director compensation and related disclosures
- Work on capital markets transactions, including equity offerings and M&A deals
- Stay updated on developments in securities laws, corporate governance, and executive compensation
- Assist clients with risk mitigation efforts and provide preparatory services for corporate governance and compliance
Qualifications:
- JD from an ABA-accredited law school
- 2-5 years of experience in public company advisory work
- Strong familiarity with drafting and reviewing Exchange Act filings
- Understanding of listing standards for major . exchanges
- Experience in offering work, such as equity offerings and M&A, is a plus
- Strong communication and client management skills
- Ability to work collaboratively in a team environment and across various industries
