**Members Only** is seeking a Corporate Counsel with experience in technology transactions to join our team. In this role, you will work closely with our customers, sales teams, and peers to negotiate and draft agreements. We are looking for a quick learner who is ready to become a subject matter expert in technology from a legal perspective.
The position is open to candidates with a Juris Doctorate degree and at least 3 years of legal experience in technology transactions. The role can be based in Allen, TX; Cedar Falls, IA; Charlotte, NC; Lenexa, KS; Louisville, KY; or Springfield, MO, and comes with a base salary range of $105-160k, depending on experience and location. Additional bonuses and stock options are also included in the compensation package.
Responsibilities:
- Negotiate and draft customer-facing technology transaction agreements, including license agreements, SaaS agreements, and more.
- Contribute to and oversee updates to the company's clause library and agreement templates.
- Lead in-person and virtual negotiation sessions with customer's counsel.
- Apply experience in redlining technology contracts and providing summaries to customer's counsel.
- Address legal issues in day-to-day operations, with guidance from experienced attorneys.
- Develop legal knowledge and skills, including writing, research, negotiation, and client communication.
- Gain understanding of the company's business operations.
- Handle routine legal matters independently, including research assignments and document review and preparation.
- Continuously increase legal knowledge through education and mentorship.
- Perform other duties as assigned.
Requirements:
- Juris Doctorate degree and admission to at least one state bar association.
- Minimum of 3 years of legal experience in technology transactions.
- Ability to travel up to 15% of the time to other **Members Only** locations or customer sites.
Preferred Qualifications:
- In-house experience for a technology company, large company supporting commercial transactions, or sizable law firm supporting technology transactions.
- Knowledge of the financial services and fintech industry.
- Experience negotiating data privacy and security terms in SaaS agreements.
- Understanding of payment processing regulations.
- Experience advising on intellectual property, artificial intelligence, data privacy, and financial regulations.
- Experience presenting to executive leaders and boards of directors.
- Sales organization or sales experience.
- Strong collaboration skills, with the ability to communicate effectively and build consensus.
- Drive to take ownership of projects and tasks.
- Adaptability to changing business goals and market realities.
- Exceptional organizational skills and ability to manage multiple projects simultaneously.
- Experience negotiating complex transactions with multiple decision makers.
- Ability to quickly identify and prioritize risk.
- Openness to continuous improvement.
