Job Overview:
A nationally recognized law firm is seeking a Senior Counsel to join its Pensions, Benefits & Investments practice group. This role is suited for an experienced attorney with 8 or more years of legal experience in private fund investments and/or public market transactions. The ideal candidate will have a strong track record advising on matters involving a range of asset classes, and will be comfortable managing high-level transactions on either the manager or investor side. This position offers the flexibility to work from any firm office nationwide and involves substantial responsibility over complex deals, with the support of a collaborative legal team.

Location:

  • San Francisco, CA

Duties:

  • Advise clients on private fund investments and related regulatory matters

  • Handle transactions across a wide array of asset classes for fund managers and institutional investors

  • Draft and negotiate fund documents, side letters, and related investment agreements

  • Provide strategic legal advice on fiduciary responsibilities, governance, and compliance

  • Manage multiple concurrent projects and ensure timely and accurate execution of legal work

  • Collaborate with internal teams across practice areas for integrated client solutions

Requirements:

  • At least 8 years of relevant experience in pensions, benefits, private funds, or investment law

  • Demonstrated expertise in fund formation and structuring of investment vehicles

  • Experience representing either fund managers or investors in complex transactions

  • Ability to independently manage sophisticated legal matters with minimal oversight

  • Commitment to client service and high professional standards

Education:

  • Juris Doctor (.) from an accredited law school

  • Strong academic record preferred

Certifications:

  • Admission to the bar in the state where the candidate intends to practice

Skills:

  • Deep understanding of private funds and public market investment structures

  • Exceptional drafting, negotiation, and analytical skills

  • Excellent communication and client relationship management

  • Ability to manage high volumes of work efficiently and accurately

  • Strong organizational skills with a solution-oriented approach
