Job Title: Senior-Level Corporate Associate
Job Responsibilities:
The Senior-Level Corporate Associate will be responsible for engaging in a variety of legal tasks primarily within the field of securities and corporate law. Key responsibilities include:
- Handling registered securities offerings and private investment in public equity (PIPEs).
- Ensuring compliance with SEC regulations, including ’33 Act Registration Statements and ’34 Act periodic filings.
- Managing mergers and acquisitions, along with general corporate law matters.
- Conducting SEC research to support corporate transactions and compliance.
- Developing and maintaining strong client relationships by being proactive and self-motivated.
- Providing legal counsel to high-growth, early-stage businesses, and active investors.
- Advising on incorporations, equity financings, securities, mergers and acquisitions, and general corporate counseling.
Education and Experience Information:
Candidates must possess a minimum of 5 years of substantive legal experience in securities and corporate law. This experience should include working with high-growth, early-stage businesses and active investors, specifically in areas such as incorporations, equity financings, securities, mergers and acquisitions, and general corporate counseling. Additionally, candidates should have:
- In-depth knowledge of registered securities offerings, PIPEs, SEC regulations, ’33 Act Registration Statements, ’34 Act periodic filings, mergers & acquisitions, general corporate law, and SEC research.
- A proven track record of managing regulatory requirements and compliance issues.
- Strong interpersonal communication skills and attention to detail.
Salary Information:
The salary range for the Senior-Level Corporate Associate position is between $225,000 and $275,000. In addition to the base salary, the law firm offers a comprehensive compensation and benefits package. This includes bonuses and the potential for a percentage of origination on new business.
