Job Overview:
A prestigious law firm is seeking a highly qualified associate to join its Investment Funds practice group in Los Angeles. This position offers the opportunity to work with prominent private equity firms and asset managers on a variety of complex transactional matters, including fund formation, GP stakes sales, and secondary transactions. Candidates with strong experience in fund formation, mergers and acquisitions, capital markets, or other corporate transactions will be considered.

Duties:
Advise private equity firms and asset managers on fund formation and structuring
Draft and negotiate fund documents including limited partnership agreements, side letters, and offering memoranda
Counsel clients on GP stake sales, secondary transactions, and investor onboarding
Collaborate on regulatory and compliance issues impacting fund operations
Provide guidance on capital raising strategies and fund governance matters
Support related corporate transactions, including co-investments and joint ventures
Requirements:
4 to 7 years of experience in fund formation, M&A, capital markets, or other complex corporate transactions
Prior experience representing private fund sponsors and asset managers preferred
Strong familiarity with private equity fund structures and the investment management industry
Demonstrated ability to handle client communications and manage transactional workflows
Education:
Juris Doctor (JD) from an accredited . law school
Excellent academic credentials required
Certifications:
Admission to the bar in at least one . jurisdiction (California preferred)
Skills:
Strong legal drafting, analytical, and negotiation skills
Deep understanding of fund governance and limited partnership structures
Ability to manage multiple transactions simultaneously and meet deadlines
Excellent communication and client relationship skills
