Duties

  • Advise clients on federal securities regulations, particularly the Investment Company Act of 1940 and the Securities Act of 1933

  • Lead or support major transactions including fund reorganizations and mergers

  • Provide counsel to mutual funds, ETFs, closed-end funds, and independent trustees/directors

  • Manage multiple legal matters concurrently in a fast-paced environment

  • Work closely with senior attorneys and shareholders on client strategy and execution

  • Participate in business development efforts and contribute to internal practice growth

Requirements

  • 4–7 years of experience in investment fund regulation, compliance, or transactions

  • Strong working knowledge of federal securities laws applicable to registered funds and advisers

  • Experience with fund structures such as mutual funds, ETFs, and closed-end funds

  • Proven ability to take a leadership role in transactional matters

  • Licensed and in good standing with a state bar, or in process of admission in the relevant jurisdiction

Education

  • Juris Doctor (.) from an accredited . law school

  • Demonstrated academic excellence

Certifications

  • Active bar membership in at least one . jurisdiction

  • In good standing or taking steps toward admission in the appropriate office location

Skills

  • Deep understanding of investment services law and compliance frameworks

  • Exceptional communication and drafting skills

  • High attention to detail and accuracy

  • Ability to manage competing priorities and deadlines

  • Client-service oriented with strong interpersonal skills
