Job Overview:
A law firm located in Los Angeles, CA, is seeking a junior to mid-level associate attorney with demonstrated experience in private investment fund formation and a keen interest in advising venture capital and growth equity clients. This position offers the opportunity to work closely with an established team that provides legal guidance to high-profile investment firms across the . and internationally.

Duties:

  • Draft and review offering materials, partnership agreements, and governing documentation for various fund structures.

  • Negotiate side letters and investor agreements in fund formation contexts.

  • Provide regulatory and structural guidance relating to securities laws, including the Investment Company Act, Investment Advisers Act, and the Securities Act.

  • Advise on general fund operations, including governance, compliance issues, conflict management, and partner/member transitions.

  • Assist with legal aspects of fund-related employment, consulting, and vendor relationships.

  • Support clients on tax structuring and fund financing transactions.

Requirements:

  • 1-5 years of post-JD experience in a private investment funds practice or similar.

  • Prior experience at an Am Law 100 or similarly recognized firm.

  • Demonstrated interest and/or background in venture capital, private equity, or growth equity fund work.

  • Familiarity with legal and operational aspects of fund sponsors, including general partner and management company structuring.

  • Preference for candidates admitted in California or Texas and good standing.

Education:

  • Juris Doctor (JD), Class of 2020–2024.

  • The degree must be from a nationally accredited and recognized law school.

Certifications:

  • Admission to the State Bar of California or Texas (preferred).

Skills:

  • Excellent drafting and negotiation skills.

  • Deep understanding of private fund structures and regulatory frameworks.

  • Strong analytical, communication, and interpersonal skills.

  • Ability to work directly with clients and handle multiple complex projects concurrently.
