Job Title: Assistant General Counsel
Job Responsibilities:
The Assistant General Counsel is tasked with providing legal support to the Integrated Logistics Solutions business team, utilizing the company's infrastructure capabilities in areas such as natural gas transportation, gas marketing, water sourcing, carbon capture and sequestration, power and transmission, and power plant development. Key responsibilities include:
- Drafting, reviewing, and negotiating power purchase agreements, tolling arrangements, other power offtake agreements, and interconnection agreements.
- Drafting, reviewing, and negotiating joint development agreements, developer services agreements, and related agreements for the development of data center campuses with co-located generation.
- Drafting, reviewing, and negotiating agreements for power inputs supply, including natural gas precedent agreements, NAESBs, and other commercial contracts.
- Providing strategic advice on transaction structures, considering state regulatory schemas related to behind-the-meter sales.
- Advising on compliance with Federal Power Act and state electric utility regulatory requirements to ensure state and federal regulatory compliance.
- Facilitating and overseeing outside counsel.
- Attending and participating in internal meetings and meetings with customers, investors, partners, third parties, FERC, and state commissions.
- Performing other daily, weekly, monthly, or special project duties as required.
Education and Experience Information:
- Education: Juris Doctor from an accredited institution.
- Experience: A minimum of ten years of relevant legal experience, including extensive commercial transactional experience and expertise in FERC rules, regulations, and procedures related to electric transmission and generation. Experience in negotiating power purchase agreements and natural gas transportation precedent agreements is required.
- Intermediate proficiency in MS Office applications, including Excel, Word, Access, PowerPoint, and Outlook.
Certifications, Licenses & Registrations:
- Must be licensed to practice law in the . and eligible to waive into the Colorado Bar or practice according to the state's single-client counsel rule, . 222.
- Must possess and maintain a valid driver’s license and a satisfactory driving record for travel purposes.
Competencies, Skills & Abilities:
- Ability to work independently, manage multiple tasks, and meet competing deadlines.
- Excellent verbal and written communication skills, with strong analytical capabilities and logical thought processes.
- Proficiency in legal research tools, including FERC’s eLibrary and Lexis.
- Ability to work collaboratively with a team, manage daily work organization and prioritization, and maintain confidentiality.
- Must perform all essential and marginal functions of the job and maintain a high level of performance and attendance.
- Ability to work non-traditional hours as needed.
Physical Demands:
- The role requires sitting, standing, walking, driving, talking, seeing, hearing, bending, stooping, squatting, crouching, reaching, kneeling, pushing, pulling, and lifting up to 25 pounds.
- Must be able to sit for prolonged periods and use hands for typing and handling.
Working Conditions:
- Occasional overnight travel may be required.
- Required to carry a cell phone and be responsive during and outside working hours.
- Successful candidates must pass a drug screen and complete a background check, including a credit report for certain positions, after an offer is made.
Supervisory Responsibility:
- This position does not have any supervisory responsibilities.
Preferred Education, Experience, Certifications, Competencies, Skills, & Abilities:
- Graduating in the top 25% of the class is preferred.
- In-house legal experience is advantageous but not mandatory.
Salary Information:
- The annual salary range for this position is $215,000 - $250,000.
