Job Title: Vice President, Legal - General Counsel
Job Responsibilities:
The General Counsel is tasked with the oversight and coordination of all legal matters within the Company. This role involves providing legal advice and counsel to senior management, the Board of Directors, and other Company personnel concerning legal and regulatory issues. Key responsibilities include:
- Overseeing the legal review of all contracts and agreements, and implementing document retention policies.
- Managing relationships with outside counsel to ensure cost efficiency.
- Providing ongoing legal guidance on regulatory matters.
- Serving as the primary legal advisor on significant business transactions like acquisitions, divestitures, and joint ventures.
- Overseeing litigation involving the Company, devising strategies with executives and outside counsel.
- Ensuring Company compliance with laws and regulations, including those from the SEC, FCC, and NASDAQ.
- Structuring and managing the Company’s internal legal team and functions.
- Handling all corporate secretarial and governance matters, working closely with the Board of Directors and its Committees.
Education and Experience Information:
- A requirement of public company legal experience.
- Proven track record leading an in-house legal department.
- Preferably has experience in the telecommunications industry.
- Knowledge in corporate law, mergers and acquisitions, contracts, and securities law is advantageous.
- Experience with corporate governance and working with a board of directors.
- Must be a member of the state bar with a minimum of 10 years of in-house legal leadership experience.
- Excellent organizational, analytical, and problem-solving skills.
- Strong leadership, interpersonal, and negotiating skills.
- Demonstrates urgency, proactivity, and the ability to prioritize tasks effectively.
- Ability to support and embody the Company’s "Win Together" culture.
