Job Overview
A nationally recognized law firm is seeking a mid-level Corporate M&A Associate Attorney to join its Corporate & Mergers and Acquisitions practice group. This is an excellent opportunity for a motivated legal professional to work on high-level business transactions with regional, national, and international clients. The ideal candidate will bring a strong foundation in M&A law, due diligence, and corporate structuring, with the ability to take a lead role in transaction execution.

Location

  • Cleveland, Ohio

Duties

  • Draft and negotiate primary and ancillary documents related to mergers, acquisitions, joint ventures, divestitures, and other corporate transactions

  • Lead M&A due diligence processes on both buy-side and sell-side deals

  • Provide legal counsel on general corporate law matters including entity structuring, recapitalizations, and governance

  • Work closely with clients on transaction strategy, structure, and execution

  • Collaborate with cross-functional teams, including tax, finance, and regulatory advisors

  • Support business development initiatives and help cultivate new client relationships

  • Manage multiple matters simultaneously in a fast-paced environment

  • Ensure compliance with applicable laws, industry regulations, and client-specific requirements

Requirements

  • Minimum of 3 years of relevant experience in corporate law with a focus on M&A

  • Demonstrated ability to lead or support complex corporate transactions

  • Strong familiarity with due diligence, deal structuring, and negotiation processes

  • Exceptional legal drafting and analytical capabilities

  • Ability to prioritize and manage competing deadlines

  • Excellent interpersonal and client-facing communication skills

Education

  • Juris Doctor (.) from an accredited law school

Certifications

  • Active bar license in the jurisdiction of the office location (OH)
