Corporate Counsel
Job Responsibilities
The Corporate Counsel serves as the legal advisor to the North America and Latin America Medical Services Executive Committees (Excos) and acts as the main legal advisor to the CEO for medical services in the Americas. The primary responsibilities include providing legal support for commercial and vendor transactions, including contract negotiation and review, and supporting strategic alliances. The role involves assisting with legal matters related to operations, marketing, security, and human resources, and managing external counsel for employment, compliance, and commercial issues.
Key responsibilities include:
- Attending all ExCo meetings to report on legal/regulatory issues affecting the region and supporting fellow ExCo members on strategic initiatives.
- Actively managing strategic partnerships and nurturing productive relationships with stakeholders.
- Serving as an active business partner to leadership teams to drive strategic opportunities, reduce costs, and identify and mitigate commercial risks.
- Applying business and legal acumen to advise on transactional matters, commercial and regulatory issues, litigation, privacy, and other matters.
- Providing training to stakeholders in the region as required.
- Drafting and negotiating complex commercial contracts for commercial transactions and reviewing commercial terms for RFPs and tenders.
- Responding to escalations of commercial terms and guiding contract managers from Commercial Services, providing training and updates to the playbook on significant matters.
- Drafting NDAs, employment, and independent contractor agreements, conducting due diligence, and participating in the integration of new entities if required.
- Collaborating with global legal colleagues and subject matter experts to analyze and advise regional commercial teams on complex legal/compliance issues.
- Structuring and negotiating complex transactions.
- Overseeing outside counsel in matters of litigation, employment, and compliance.
- Supporting and driving cross-business-line, global, and regional synergies.
- Implementing and coordinating strategic solutions, policies, procedures, and controls to manage legal risk effectively.
- Keeping abreast of relevant regulatory and licensing requirements and changes, informing the region of necessary actions to meet regulatory requirements.
- Supporting corporate governance and record-keeping as needed.
- Participating and providing guidance in local and regional projects or transactions.
Education and Experience Information
Required Skills and Knowledge
- Excellent contract drafting and negotiation skills.
- Strong commercial acumen.
- Excellent written and verbal communication and negotiation skills.
- Ability to organize, prioritize, and manage deadlines in a fast-paced and demanding work environment.
- Ability to work independently while contributing successfully to cross-functional teams.
- Ability to maintain strong working relationships with internal clients.

Required Work Experience
- 5 to 10 years of experience at a law firm or in-house legal department.
Required Qualifications
- JD with excellent law school credentials.
- Licensed to practice in a US State or eligible for licensure as a registered in-house counsel.
Required Languages
- Business/Legal fluency in English.
Travel / Rotation Requirements
- Occasional travel may be requested.
