Job Title: Associate Corporate Counsel
Job Responsibilities:
The Associate Corporate Counsel at the company is tasked with providing comprehensive legal support across various business functions, focusing primarily on Mergers & Acquisitions (M&A) and financing transactions, as well as development activities and other contract negotiations. The role requires the individual to be a proactive business partner, contributing to the structuring, execution, and closing of complex transactions. Key responsibilities include:
Transactional:
- Supporting the internal legal lead on M&A transactions by coordinating diligence efforts in close collaboration with finance, development, real estate, environmental, engineering, and tax teams.
- Assisting in drafting and negotiating transaction documents, including purchase and sale agreements, disclosure schedules, and other related documents.
- Supporting the internal legal lead on financing transactions related to solar energy facilities and battery energy storage systems, including construction financing, term debt, tax equity financings, and refinancing transactions.
Development:
- Acting as the legal lead in reviewing, drafting, and negotiating various commercial agreements such as master services agreements, consulting agreements, and non-disclosure agreements.
- Assisting in drafting and negotiating supply agreements, EPC agreements, purchase orders, and other necessary contracts to support the company’s supply chain and project management.
- Supporting regulatory compliance efforts, including coordinating filings with the Federal Energy Regulatory Commission, public utility commissions, and state-level regulatory entities as necessary.
- Providing day-to-day legal support to the development team.
Other Responsibilities:
- Supporting litigation matters and other pre-litigation disputes.
- Assisting with warranty claims.
- Updating the internal library of template agreements.
- Managing internal paralegals to support transactions and contract negotiations.
- Managing outside legal counsel as needed to facilitate project finance, M&A transactions, and development efforts.
- Collaborating with other legal team members to resolve issues on deals and contracts.
Education and Experience Information:
- Juris Doctor (.) degree from an accredited law school and a current license to practice law.
- Minimum of 2 years of experience with a law firm or in-house legal department.
- Knowledge and experience in drafting and negotiating commercial contracts.
- Experience supporting M&A transactions.
- Experience in the renewables industry or a willingness to learn about the industry to provide effective counsel.
- Exceptional problem-solving skills and a business-oriented approach to legal issues.
- Strong written, verbal, and interpersonal communication skills.
- Ability to prioritize multiple assignments and meet tight deadlines.
- Ability to analyze complex issues and provide appropriate advice to internal business partners.
- Fluency or willingness to learn about the solar industry to provide effective counsel.
Salary Information:
The salary range for the Associate Corporate Counsel position is $120,000 to $165,000, plus bonuses and benefits. Compensation may vary based on several factors, including the candidate’s qualifications, skills, competencies, experience, and location.
