Role and Responsibilities:

As a mid-to-senior level corporate associate in our startup and venture capital group, the successful candidate will have the opportunity to work on a variety of corporate transactions and matters for technology and life sciences companies at all stages of development. This role will involve working closely with partners and senior associates on a wide range of matters including venture financings, M&A transactions, public offerings, and other strategic transactions. The candidate will also have the opportunity to work collaboratively with other practice groups within the firm, including tax, compensation and benefits, and intellectual property.

Key responsibilities for this position include:

- Assisting with venture capital financings, including drafting and negotiating financing documents, conducting due diligence, and advising clients on corporate governance matters
- Assisting with M&A transactions, including drafting and negotiating purchase agreements, conducting due diligence, and advising clients on legal and business issues
- Drafting and negotiating a variety of corporate agreements, including stockholder agreements, employment agreements, and licensing agreements
- Providing legal advice and guidance to clients on a wide range of corporate and securities law issues
- Collaborating with other practice groups within the firm to provide comprehensive and integrated legal services to clients

Qualifications and Experience:

- Minimum of three (3+) years of experience in a sophisticated corporate law practice, with a focus on startup, venture capital, and emerging company representation
- Experience working with technology and/or life sciences companies is highly preferred
- Barred in the state of the office the candidate is applying for, or eligible to sit/waive into the next bar exam
- Excellent academic credentials from a top-tier law school
- Strong drafting, negotiation, and communication skills
- Ability to work collaboratively with a team and handle multiple projects simultaneously
- Highly motivated and able to thrive in a fast-paced, dynamic environment
