Job Title: Sr. Counsel, M&A

Job Responsibilities:
- Lead and support mergers, acquisitions, joint ventures, investments, warrants, and other corporate transactions throughout all stages of the transaction lifecycle, including the assessment of potential targets, deal structuring, negotiation, due diligence, and deal execution.
- Provide strategic legal advice to senior management and other internal stakeholders regarding M&A strategy, risk management, and execution.
- Draft, review, and negotiate transaction documents, including definitive agreements, letters of intent, and ancillary documents.
- Collaborate with multiple cross-functional teams across the company on post-closing integration matters.
- Advise on legal and regulatory issues related to securities law, antitrust, data privacy, and other compliance matters that may impact M&A transactions.
- Provide support and guidance on other corporate matters.
- Manage outside counsel effectively, including the selection of advisors and coordination of efforts to ensure effective legal support during the transaction process.
- Contribute to the development of internal legal processes and best practices for M&A transactions.

Education and Experience Information:
- Juris Doctor (JD) degree and admission to any state bar.
- 9+ years of legal experience in a law firm as well as experience working in-house as a corporate transactions attorney focused on M&A and investments.
- Experience with corporate transactions in the technology sector.
- Ability to work autonomously while exercising sound judgment in a fast-paced environment.
- Excellent verbal and written communication skills.
- Excellent organizational skills and the ability to manage multiple projects at once, follow through, and meet deadlines.
- Flexibility and a willingness to work extended hours when necessary.
- Proven ability to balance legal risk and business objectives.
- Positive attitude and high emotional intelligence. No job is too big or too small.
- Common sense and a good sense of humor.

Salary Information:
- The national base pay range for this position within the United States is between $214,200 and $315,000 USD.
- Compensation includes opportunities for equity grants.
- A comprehensive benefits package is offered, including a 401(k) plan with employer matching, 16 weeks of paid parental leave, wellness benefits, commuter benefits match, paid time off, and paid sick leave in compliance with applicable laws.
- Medical, dental, and vision benefits, 11 paid holidays, disability and basic life insurance, family-forming assistance, and a mental health program are also included.
- Detailed paid time off includes flexible paid time off/vacation for salaried roles, plus 80 hours of paid sick time per year, and vacation and sick time accrual for hourly roles based on hours worked.
