Role and Responsibilities:
- Ensure compliance with applicable SEC laws and regulations and NYSE rules
- Manage Sarbanes-Oxley and 1934 Act compliance and reports
- Oversee Section 16 filings
- Work on earnings releases, analyst/investor conferences, and shareholder proposals
- Assist with corporate financing, including acquisitions and joint ventures
- Develop and implement corporate policies and procedures
- Stay up-to-date on corporate governance trends and participate in Board activities
- Provide legal advice and solutions for international market expansion
- Support stock administration and employee education
- Assist with maintenance of foreign and domestic subsidiaries
- Stay informed on external governance trends, SEC issues, and legal best practices
Skills and Experience:
- Minimum 8 years of directly related work experience
- Bachelor's and associated Law degree from an accredited law school required
- In-house experience at a public company required
- International experience desired
- Ability to implement policies and projects across an international organization
- Ability to multitask in a fast-paced environment
- Experience in a manufacturing environment a plus
