Job Title: Contract Manager I

Job Responsibilities:

- Serve as an internal “business consultant” regarding all contract matters, performing complex work associated with client contracting services.
- Draft, negotiate, review, and administer complex, high-value, multifaceted contracts while collaborating with business stakeholders and external clients.
- Utilize experience, industry standards, and knowledge of treasury management products, corporate formation documents, and company policies to address credit, risk, compliance, legal, operational, and business issues with clients in the United States and Latin America.
- Facilitate communications among sales, implementation, product, operations, compliance, risk, credit officers, legal staff, and client managers to promptly resolve documentation issues.
- Conduct analytic, legal, and business reviews of contractual language in contracts, schedules, and amendments, developing general, special, and operational provisions to ensure maximum benefit to the company and limit risk.
- Apply strong verbal and written communication skills to represent the company in negotiations and communications with clients, stakeholders, and internal/external counsel at all levels of management.
- Conduct contract administration duties including contract request receipt, documentation, execution, and record-keeping, ensuring smooth contract execution and administration.
- Develop strategies to resolve and manage potential problems on major contracts to effectively meet organizational goals and objectives.
- Assess and advise business personnel on contractual issues and business risks associated with contracts to eliminate unnecessary liability, ensure compliance, and reduce legal entanglements.
- Serve as an expert resource, advising and instructing company personnel on corporate policy, compliance, legal requirements, documentation standards, and procedures related to developing contractual arrangements.

Education and Experience Information:

- Minimum educational requirement is an undergraduate/graduate degree.
- Juris Doctorate degree, paralegal/technical contract training, or equivalent work experience is preferred, with a minimum of three years of relevant experience.
- Desired qualifications include previous financial services industry experience in corporate or commercial banking, previous legal experience, and knowledge of company legal structures such as sole proprietorships, partnerships, limited partnerships, LLCs, corporations, trusts, etc.
- Experience with transaction banking products is also desired.

Additional Information:

- The position is full-time, with 40 hours per week required.
- The role involves 1st shift work in the United States of America.
- Travel is required approximately 5% of the time.
