Job Title: Contracts Specialist - USDS

Job Responsibilities:
As a Contracts and Compliance Manager/Specialist within the company Legal & Compliance team, you will play a crucial role in ensuring adherence to legal and company policies, assisting in contract execution, overseeing daily operations, and promoting effective communication across the organization. Under the guidance of the team's attorneys, you will facilitate decision-making processes, drive efficiency, and transform complex challenges into actionable solutions in a dynamic environment. This role is vital for managing and streamlining the company's contract lifecycle, ensuring policy compliance, and supporting cross-functional teams in negotiating and executing commercial agreements.

Key Responsibilities include:
- Managing the complete contract lifecycle, including drafting, reviewing, negotiating, and finalizing various commercial agreements like SaaS contracts, NDAs, MSAs, DPAs, and other legal terms.
- Enhancing contract management processes, tools, and systems to boost efficiency and minimize risk, including developing and implementing playbooks and templates to enhance contract workflows.
- Highlighting key issues for attorney review, conducting pertinent legal and benchmark research, and assisting in preparing presentation and training materials for legal leadership and business partners.
- Defining and tracking key metrics, quality, and performance indicators, and performing data analyses.
- Providing guidance on contractual obligations, risks, and business terms to internal stakeholders.
- Developing and maintaining strong relationships with business partners across the organization.
- Analyzing complex legal issues and providing well-founded recommendations to the legal team and other stakeholders.
- Ensuring compliance with company policies, regulatory requirements, and industry best practices.
- Tracking key contract terms, obligations, and expiration dates to support ongoing business operations.

Education and Experience Information:
Minimum Qualifications:
- Excellent communication, negotiation, and problem-solving skills.
- Over 3 years of contract and compliance management experience in-house or within a large law firm.
- Strong understanding of commercial contract terms, including licensing, limitations of liability, indemnity, and confidentiality provisions.
- BA/BS degree or Paralegal Certificate.
- Ability to work independently and collaboratively, managing projects with competing timelines.
- Background in tech or media companies, and data security compliance.
- Experience with contract management software and workflow tools.

Preferred Qualifications:
- Solid organizational and time management skills with a high attention to detail.
- Ability to manage processes from start to finish with minimal supervision, handling a varied workload and prioritizing effectively.
- Strong bias for action and collaboration with business stakeholders.
- Familiarity with technology and comfort in learning new technology.

Salary Information:
For Pay Transparency, the base salary range for this position in the selected city is $83,600 - $143,555 annually. Compensation may vary outside of this range based on several factors including a candidate’s qualifications, skills, competencies, experience, and location. Base pay is one part of the total compensation package, which may include additional discretionary bonuses/incentives, and restricted stock units.

Benefits may vary based on the nature of employment and work location. Employees have immediate access to medical, dental, and vision insurance, a 401(k) savings plan with company match, paid parental leave, short-term and long-term disability coverage, life insurance, wellbeing benefits, among others. Employees also receive 10 paid holidays per year, 10 paid sick days per year, and 17 days of Paid Personal Time (prorated upon hire with increasing accruals by tenure).
