Job Title: Sr Counsel

Job Responsibilities:
The Sr Counsel position within the legal department involves managing specialized knowledge to support national securities exchanges regulated by the SEC, with a particular focus on exchange rules and filings and initiatives to support exchange-traded products (ETPs) listed and traded on the company's listing market. Key responsibilities include:

- Reviewing and drafting rules and rule filings to applicable regulators to explain the purpose and basis of those rules.
- Steering any rule changes through internal corporate and external regulators’ review and approval processes.
- Working with the ETP Listings business team to drive growth in the ETP listings business by providing legal counsel and innovative thinking.
- Preparing complex comment letters and responding to regulatory inquiries.
- Providing advice on legal and regulatory issues resulting from new and existing regulations and business initiatives.
- Coordinating with the broader legal team on other legal matters applicable to the Listings Business.
- Responding to other general legal matters, including those related to securities trading and corporate law issues.
- Reviewing regulatory and informational publications.
- Monitoring new domestic and international regulatory developments that directly or indirectly impact the company.
- Providing legal counsel to the company in connection with regulatory exams, inspections, and other matters.
- Offering other legal support for company activities.

Education and Experience Information:
Candidates for the Sr Counsel position are required to have the following qualifications:

- Bachelor’s Degree and Juris Doctorate from an accredited institution.
- Membership in the applicable state bar.
- A minimum of 5 years of experience working at a law firm or a corporation, with a specialty related to securities exchange regulations, other securities regulatory matters, or related fields of law.
- Proficiency in Microsoft Office Suite applications, including Word, PowerPoint, Excel, and Outlook, as well as document management and other office technologies.
- Experience with the Investment Company Act of 1940, Securities Exchange Act of 1934, and crypto assets is a plus, but not required.

Salary Information:
The national new hire base pay range for the Sr Counsel position in the United States is $157,250-$194,250. This range represents the minimum and maximum base pay the company expects to offer for new hires working in the position full-time. Geographic differentials may apply, with higher ranges in certain locations, such as:

- 110% in Austin, TX; Chicago, IL; Denver, CO; San Diego, CA.
- 115% in Los Angeles, CA; Seattle, WA.
- 120% in Boston, MA; Washington, DC.
- 125% in New York City, NY.
- 130% in San Francisco, CA.

Individual pay is determined by factors including work location, job-related skills, experience, and relevant education or training. In addition to base pay, the company's total rewards program includes an annual variable pay program and benefits, such as healthcare (medical, dental, and vision), a 401(k) with a generous company match, life and disability insurance, paid time off, market-leading tuition assistance, and more.
